("MAACKK") are pleased to announce that they have entered into a business combination agreement with respect to a proposed reverse takeover of MAACKK by the securityholders of GCC (the "Proposed RTO").GCC has also entered into a definitive mineral rights purchase and sale agreement (the "Marshall Acquisition Agreement") dated February 25, 2026 with Basin Energy Limited ("Basin Energy").
